Terms & Conditions

The Food Sustainability Challenge (the “Challenge”) is a competition organised by BOP Hub Ltd, NUS Enterprise & raiSE: henceforth collectively known as “The Organisers”. 


The Challenge involves participating teams coming up with innovative solutions to generate interest in the food wastage upcycling space and have an impact on the lower income group of Singapore by either job creation or food security opportunities in Singapore. Statements describing these problems (“Challenge Statements”) will be published on the Challenge website at the following URL (“Website”) from the Commencement Date of the Challenge until the Deadline (as defined in these T&Cs).

1. These Terms and Conditions govern the Challenge. Participation in the Challenge constitutes acceptance of these Terms and Conditions as may be amended by the Organisers when required at the Organisers’ sole discretion. 


PARTICIPANT PROFILE


2. Participants will participate in teams consisting of at least two (2) persons (each, a “Team”).
3. Every member of each Team (“Team Member”) must be:

  • a natural person of at least 18 years of age; and

  • a member of only one (1) Team.

4. Each Team shall make best efforts to develop its solution in Singapore regardless of whether the Team is based primarily in Singapore or overseas.

 

CONDUCT OF CHALLENGE


Stage 1: Initial Submission of Proposal

5. To participate in the Challenge, each Team must complete their proposal in English detailing their solution to the Challenge Statement (“Proposal”). For avoidance of doubt, each Team may submit multiple Proposals, provided that each Proposal is different.
6. The Organisers will begin accepting submissions of Proposals on 1 Nov 2021 from 00:00 (UTC+08:00) (the “Commencement Date”) until 3 Jan 2022, at 23:59 (UTC+08:00) (the “Deadline”). No further submissions will be accepted after the Deadline.
7. Each Team’s Proposal must be submitted to the email by the Deadline, and must include all necessary documents and details as stipulated by the Organisers, at the following email:

8. Each Team hereby authorises the Organisers to reproduce their trademark and their registered business names free of charge on all communication and publicity materials for the Challenge and future Food Sustainability Challenges, including but not limited to the Organiser’s intranet and external websites, email signatures/newsletters, press releases, posters/banners at trade fairs, and on various social media platforms.
9. Participation in this Challenge is free. Each Team shall be responsible for all its costs of entering and participating in the Challenge, including without limitation all costs of development, prototyping, manufacture, testing, marketing, video production, licensing, searches, registration and protection of intellectual property rights, legal costs, travel cost, costs of obtaining third party consents and licences. Each Team Member recognises that there is no guarantee that their Team, or any other Team, will win the Challenge and that participation is entirely at each Team’s own risk.
 
Stage 2: Shortlisting and Further Development of Proposal
10. The Organisers will shortlist five (5) of the participating Teams (the “Shortlisted Teams”) to further develop their Proposal. All other Teams will be deemed to have been eliminated from the Challenge.
11. Teams who have submitted multiple Proposals will only be shortlisted for only one (1) Proposal, to be determined at the Organisers’ sole discretion.
12. Shortlisted Teams will be assigned mentors (to be appointed by the Organisers at their sole discretion) who will work with the Shortlisted Teams to further develop their proposals for Pitch Day on 14 Jan 2022.
13. Shortlisted Teams that remain uncontactable and/or fail to accept the Organisers’ invitation by the date and time to be stipulated will be deemed to have forfeited their continued participation in the Challenge. In such an event, the Organisers shall have the absolute discretion to select other participating Teams in their place. The Organisers’ decision with regard to the shortlisting of Teams (and any dispute relating thereto or arising thereof) is final.

 

Stage 3: Demonstration and Showcase
14. The Shortlisted Teams will be allowed an opportunity to present their proposed solution (their ”Pitch”) to a panel of judges (to be appointed by the Organisers at their sole discretion) (the “Judges”) on 14 Jan 2022.
15. Pitches may be in the format of a working prototype, presentation slides or video.
16. If a Shortlisted Team does not present their Pitch during the time slot allocated to them on Pitch Day, the Team is deemed to have forfeited their participation in the Challenge.
17. After assessing all of the Pitches from the Shortlisted Teams, the Judges will select three (3) Teams (each a “Winning Team”).
18. Details relating to Pitch Day as set out in the aforementioned paragraphs is on 14 Jan 2022 and is subject to change at the sole and absolute discretion of the Organisers.

 

PRIZES

 

19. There will be three (3) prizes awarded to the Winning Teams (to be determined at the Judges’ sole discretion): 1st Place 7,000SGD, 2nd Place 5,000SGD, 3rd Place 3,000SGD (collectively, the “Prizes”). Part of these prizes may be awarded as funds for subsequent project(s) to experiment and/or further develop their proposed solution into product(s). Prizes may be awarded after, during or before the six (6) months incubation period at the discretion of the Organisers.
20. The Winning Teams will be announced on Pitch Day. Winning Teams must provide the bank details to which whole or part of their Prizes are to be transferred (the “Designated Prize Recipient”) upon being notified of their win by the Organisers and/or their representatives and must consent to personal data being disclosed as may be necessary to facilitate the transfer of the Prizes. Winning Teams who cannot be contacted will forfeit their Prizes.
21. Prizes will be paid solely via local bank transfer. Prizes cannot be paid out in cash and will not be paid out to any person other than the Designated Prize Recipient. The Organisers accept no responsibility for any tax or other liability that may arise from any Team’s receipt of the Prizes.

 

CANCELLATION AND SUSPENSION OF THE CHALLENGE

22. The Organisers reserve the right to suspend, shorten, cancel or terminate the Challenge at any time without notice in their sole and absolute discretion. 


CHALLENGES TO CHALLENGE DUE TO EXTERNAL CIRCUMSTANCES


23. The Organizers will adhere to governmental regulations and safety guidelines when running the Challenge, including but not limited to COVID-19-related measures. This may result in a change in the following but not limited to the nature, timeline, programme structure of the Challenge. 


PRIVACY STATEMENT FOR PARTICIPATION IN THE CHALLENGE


24. Each Team Member hereby consents to the Organisers collecting, using, disclosing and processing any information and photos/videos provided by him/her (“Challenge Data“) to the Organisers, in accordance with the Personal Data Protection Act (PDPA) or equivalent government regulations or guidelines, solely for the purposes of the Challenge (whether via the above mentioned URL or via any other means), including but not limited to:

  • the administration and execution of the Challenge by the Organisers;

  • the distribution of the Prizes as part of the Challenge;

  • the communication with any Team Member;

  • providing any Team Member with information and/or updates on the Challenge; and

  • to verify any Team Member’s background.

25. Challenge Data will not be disclosed to third parties unless it is necessary for any of the purposes of this Challenge. Following the end of the Challenge, Challenge Data will be retained to the extent allowed by law and regulatory guidelines. 
26. By submitting Challenge Data relating to other individuals to the Organisers for the purposes of the Challenge (whether via the proposal submission portal info@bophub.org or via any other means), each Team Member represents and warrants that he/she is authorized to provide such data to the Organisers and that he/she has obtained consent from such other individuals to the collection, use, disclosure and/or processing of such Challenge Data in accordance with these Terms and Conditions.
27. Every Team Member represents and warrants that all Challenge Data provided by him/her is accurate and complete, and that none of it is misleading or out of date. Every Team Member shall promptly update the Organisers in the event of any change to the Challenge Data provided by him/her to the Organisers.
28. Any Team Member may revoke his/her consent to the Organisers’ collection, use and/or disclosure of Challenge Data under these Terms and Conditions at any time by contacting the Organisers. However, such revocation of consent may mean that the Team Member in question will no longer be able to participate in the Challenge as the Organisers may require the Challenge Data in question to administer all or part of the Challenge.


INTELLECTUAL PROPERTY RIGHTS


29. By participating in the Challenge, each Team (and each Team Member) warrants and undertakes that:

  • the Team has not licensed any works (including documents, slides, reports, models, drawings, proposals, solutions or any other materials that have not already been materialized or commercialized) submitted by him/her for the purposes of participating in the Challenge (“Challenge Works”) or part thereof to any third party anywhere in the world or assigned the copyright and/or all other intellectual property rights in, to or in respect of the Challenge Works to any third party anywhere in the world;

  • collectively, the Team Members are the sole legal and beneficial owner(s) of all intellectual property rights in the Challenge Works anywhere in the world which are free from encumbrances and any claims including claims by licensees, users or other third parties and is/are entitled to assign such intellectual property rights to the Organisers if so requested;

  • the Challenge Works shall wholly be original work attributable to a Team Member(s) and any use of the Challenge Works by the Organizers and their sub-licensees will not infringe any rights of any third party or give rise to any liability to pay royalty or other compensation.

30. All rights, including intellectual property rights, in and to the Challenge Works shall belong exclusively to the relevant Team Member(s) after the Challenge.
31. Each Team Member acknowledges and agrees that the Organisers may at their sole discretion obtain submissions from other parties in connection with this Challenge and/or other marketing initiatives or challenges staged and/or offered by the Organisers and that the submissions submitted by one participant may be similar or identical in theme, idea, format or other respects to submissions by other participants or other materials developed by the Organisers or its contractors or agents.
32. The Team Members will retain all intellectual property rights in the results and materials (including but not limited to any data, know-how and information), generated by while participating in the Challenge (the “Challenge IPR”) and no rights in Challenge IPR shall be transferred to the Organisers or their partners. The Team Members shall have sole responsibility at their own cost, for filing, prosecuting, maintaining, defending and enforcing any Challenge IPR.

 

GENERAL


33. All Teams and Team Members hereby agree that these Terms and Conditions shall be governed by and construed in accordance with Singapore law and consent to the exclusive jurisdiction of the Singapore courts.
34. The Organisers shall not be liable for any all claims, losses, damages, expenses, penalties and proceedings (including personal injury or death) arising directly in connection with the Challenge, except any liability that cannot be excluded by law (in which case that liability is limited to the minimum allowed by law). Except to the extent that they may not be excluded by law, no representations, warranties, terms or conditions that are not expressly stated in these Terms and Conditions apply to the Challenge and/or the Prizes and all implied warranties are excluded. In no event shall the Organisers be liable for consequential or incidental damages arising from this Agreement.
35. If at any time any provision of these Terms and Conditions shall be or shall become illegal, invalid or unenforceable in any respect, the legality, validity and enforceability of the remaining provisions of these Terms and Conditions shall not be affected or impaired thereby, and shall continue in force as if such illegal, invalid or unenforceable provision was severed from this Agreement.
36. The Organisers reserve the right to change or amend these T&Cs from time to time without notice to the Teams and Team Members as may be amended from time to time at the Organisers’ sole discretion.
